Terms of Service
MB Libranet ("Libranet", "we", "us" or "our") operates the website at https://libranet.pro (the "Website"). These Terms of Service ("Terms") govern your access to and use of the Website. Last updated: 20 June 2026.
MB Libranet is a Lithuanian small partnership (mažoji bendrija), company code 306214658, with its registered office at V. Nagevičiaus g. 3, LT-08237 Vilnius, Lithuania. You can reach us at [email protected] or on +370 660 22 189.
The Website is a corporate and marketing site. It tells you who we are and what we do — IT services for business clients, namely cloud platforms, custom software development and AI systems — and lets you contact us through a contact form. It does not sell products, take payments or deliver services online. These Terms are written for business users; the Website and these Terms are not directed at consumers.
1. Acceptance and scope
By accessing or using the Website, you accept these Terms. If you do not agree with them, please do not use the Website.
These Terms apply to the Website only. They are not a contract for our services and do not create any client relationship, retainer or engagement. Any provision of services by us is governed exclusively by a separate written agreement signed by both parties (for example a master services agreement or statement of work). If anything in these Terms conflicts with such a signed agreement, the signed agreement prevails for the services it covers.
How we handle personal data is not dealt with in these Terms. Our Privacy Policy and our GDPR & Cookies notice explain what personal data we process, the legal bases under Article 6 of the General Data Protection Regulation (Regulation (EU) 2016/679, "GDPR"), the recipients of that data, international transfers, how long we keep it, your rights as a data subject and how to complain to a supervisory authority, together with the strictly-necessary cookies and browser storage the Website uses. Those documents govern personal data and prevail over these Terms on anything concerning data protection.
2. Who may use the Website
The Website is intended for business users — people accessing it in a professional or organisational capacity. By using it, you confirm that you are at least 18 years old and, where you act for a company or other organisation, that you are authorised to do so.
You are responsible for your use of the Website and for making sure your access complies with the laws that apply to you.
3. Acceptable use
We grant you a limited, non-exclusive, non-transferable and revocable right to access and view the Website for your own internal business and informational purposes. All other rights are reserved.
You agree not to:
- use the Website for any unlawful, fraudulent or harmful purpose, or in breach of these Terms;
- attempt to gain unauthorised access to the Website, its server, or any system or network connected to it, or circumvent any security or access controls;
- interfere with or disrupt the Website or its availability, including by introducing malware or by any denial-of-service activity;
- scrape, harvest, crawl or otherwise extract content or data from the Website by automated means, or use it to compile a database, except for indexing by reputable search engines that we have not blocked;
- reproduce, reverse engineer, copy or reuse the Website's code, design or content beyond the limited right granted above;
- submit false, misleading or unlawful information through the contact form, impersonate any person or organisation, or misuse the form (for example by sending unsolicited commercial messages or attempting to defeat our rate-limiting or anti-spam measures); or
- use the Website in any way that infringes the rights of others or that we reasonably consider damaging to us or to other users.
Text and data mining. We expressly reserve our rights under Article 4 of Directive (EU) 2019/790. No text or data mining of the Website's content — including for the purpose of training, developing or fine-tuning artificial-intelligence or machine-learning systems — is permitted without our prior written consent. This reservation is made in a machine-readable form and is additional to, and does not limit, the restrictions above.
We may suspend or withdraw access to the Website, in whole or in part, if you breach these Terms or where we reasonably need to for security, legal or operational reasons.
4. Intellectual property
The Website and all of its content — including text, graphics, layout, design, source code, photographs, video, and the "Libranet" name, logo and branding — are owned by MB Libranet or its licensors and are protected by copyright, trade-mark and other intellectual-property rights under Lithuanian and EU law. All rights are reserved except for the limited right to view the Website set out in Section 3.
You may not reproduce, distribute, publicly communicate, frame, modify or create derivative works from any part of the Website, in any medium, without our prior written consent. Short quotation with clear attribution and a link back to the source page is permitted where the law allows.
"Libranet" and our logo are our marks. Nothing on the Website grants you any licence or right to use them. Third-party names, marks and logos that may appear on the Website remain the property of their respective owners and are used for identification only.
5. Website content is general information only — no advice, no warranty
The Website's content is provided for general information about us and our services. It does not constitute professional, technical, legal or other advice, and you should not rely on it as such. Before acting on anything you read here, please contact us so we can consider your specific situation, or seek your own professional advice.
To the fullest extent permitted by applicable law, the Website and its content are provided "as is" and "as available". We do not warrant that the content is accurate, complete or up to date, that the Website will be uninterrupted, secure or error-free, or that it is free of harmful components. We may change, suspend or discontinue any part of the Website at any time without notice.
6. Contacting us does not create a contract or engagement
Sending us a message through the contact form, by email or by phone does not by itself create any contract, engagement or professional relationship between us, and does not oblige us to provide any services or to respond. It is an enquiry only.
A relationship arises, and obligations are assumed, only once we and you have signed a separate written agreement describing the services to be provided. Until then, please do not send us confidential or sensitive information through the Website, and do not treat any reply as a commitment, quote or acceptance unless we say so in writing.
We process the personal data you submit through the contact form — your name and email, and any company name, phone number or message you choose to provide — in order to receive and respond to your enquiry, on the legal bases set out in Article 6(1)(b) and 6(1)(f) GDPR. 7. Third-party links
The Website may contain links to third-party websites or resources. We provide these for convenience only. We do not control, endorse or take responsibility for the content, products, accuracy, availability or privacy practices of any third-party site. Visiting a linked site is at your own risk and is subject to that site's own terms and policies.
8. Disclaimers and limitation of liability
Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under the law of the Republic of Lithuania. In particular, and as required by Article 6.252(1) of the Civil Code of the Republic of Lithuania, we do not exclude or limit our liability for damage caused by our intent (tyčia) or gross negligence (didelis neatsargumas), for death or personal injury caused by our negligence, or for any other liability that cannot lawfully be limited.
Data-protection liability. Nothing in this Section 8 or in Section 9 (Indemnity) excludes, limits, caps or shifts any liability of MB Libranet to a data subject under the GDPR (including the right to compensation under Article 82 GDPR) or under any other mandatory data-protection law, and nothing in these Terms limits or affects any right or remedy you have as a data subject. The monetary cap below does not apply to such liability.
Subject to the paragraphs above, and to the fullest extent permitted by Lithuanian and EU law, we will not be liable for:
- any indirect, consequential or special loss, or any loss of profit, revenue, business, goodwill or data, arising out of or in connection with your use of, or inability to use, the Website or your reliance on its content; or
- any loss or damage caused by matters outside our reasonable control, by a third-party site or service, or by your own breach of these Terms.
Because the Website is provided free of charge and for information only, and subject to the data-protection carve-out above, our total aggregate liability to you arising out of or in connection with the Website and these Terms is limited, to the extent permitted by law, to a nominal cap of EUR 100. Any commercial liability relating to services we provide is dealt with separately in the signed agreement governing those services and not here.
9. Indemnity
To the extent permitted by law, you agree to indemnify us against reasonable, direct and documented losses, costs and expenses we incur as a result of your breach of these Terms or your unlawful or unauthorised use of the Website. We will notify you promptly of any such claim, will not settle it without consulting you, and will give you reasonable cooperation in dealing with it. This indemnity is intended to be proportionate and applies in a business-to-business context only. For the avoidance of doubt, this indemnity does not extend to, and does not limit, any liability of MB Libranet under the GDPR or other mandatory data-protection law.
10. Changes to these Terms
We may update these Terms from time to time, for example to reflect changes in our practices or in the law. The current version is always the one published on the Website, with the "Last updated" date shown at the top. Changes take effect when posted, and your continued use of the Website after that means you accept the updated Terms. Please check this page from time to time.
11. Severability
If any provision of these Terms is held to be invalid or unenforceable, that provision will be modified to the minimum extent necessary, or severed, and the remaining provisions will continue in full force and effect. This reflects the partial-invalidity principle in Article 1.96 of the Civil Code of the Republic of Lithuania.
12. Entire agreement and no waiver
These Terms are the entire agreement between you and us regarding your use of the Website, and replace any earlier understanding about it. Our Privacy Policy and GDPR & Cookies notice govern personal data and cookies and apply alongside these Terms. These Terms do not affect or replace any separate signed services agreement. If we do not enforce a provision of these Terms on any occasion, that is not a waiver of our right to enforce it later.
13. Governing law and jurisdiction
These Terms and any dispute or claim arising out of or in connection with them or your use of the Website (including non-contractual disputes) are governed by the law of the Republic of Lithuania. The courts of Vilnius, Lithuania have exclusive jurisdiction, save where mandatory law provides otherwise. This choice of law and forum is made on a business-to-business basis under Article 3 of Regulation (EC) No 593/2008 (Rome I) and Article 25 of Regulation (EU) No 1215/2012 (Brussels I bis).
This clause does not affect any mandatory right you have as a data subject under the GDPR, including your right under Article 77 GDPR to lodge a complaint with a supervisory authority and your right under Article 79 GDPR to bring proceedings before the courts of the EU Member State where you have your habitual residence. The competent supervisory authority in Lithuania and the route for complaints are identified in our Privacy Policy and GDPR & Cookies notice.
